The novuslifecare.com website (collectively, "Web Site") is owned and operated by NOVUS, a Missouri corporation. NOVUS has adopted these Terms and Conditions ("Terms and Conditions") to make you aware of the terms and conditions of your use of the Web Site. NOVUS reserves the right, at its discretion, to change, modify, add, or remove portions of these Terms and Conditions at any time by posting such changes to this page. PARTICIPATION AND CONDUCT
During the term of this Agreement, NOVUS grants to you a non-exclusive license to use and display the Service, and to download materials available through the Service, all solely for your personal, non-commercial use. You may not transfer, assign, sub-license, lend or re-sell the rights granted under this license.
You may participate in any forums or messaging threads offered through the Service, but you agree not to post any material the content of which (i) is defamatory, libelous, obscene, indecent, abusive, threatening to others, or in violation of any law; or (ii) infringes the copyright, trademark right, or other intellectual property right of any third party. You will be solely responsible for all content that you post on the Service. You agree to indemnify NOVUS and its officers and employees from and against all liabilities, judgments, damages, and costs (including attorney's fees) incurred by any of them which arise out of or are related to the content that you post. Forums and messaging are intended only for the personal use of subscribers, and may not be used for commercial purposes. NOVUS reserves the right to monitor the content posted on the Service, and to modify or remove any messages or postings that it deems, in its sole discretion, to be abusive, defamatory, in violation of the copyright, trademark right, or other intellectual property right of any third party, or otherwise inappropriate for the Service. NOVUS also reserves the right to edit or modify any submissions in response to requests for feedback, Letters to the Editor, or other commentary. Notwithstanding the foregoing, NOVUS is not obligated to take any such actions, and will not be responsible or liable for content posted by any subscriber in any forum, message board, or other area within the Service.

IF YOU DOWNLOAD EXECUTABLE PROGRAMS FROM THE SERVICE, THE ENTIRE RISK AS TO THE RESULTS AND PERFORMANCE OF SUCH PROGRAMS IS ASSUMED BY YOU. NOVUS IS NOT RESPONSIBLE FOR THE ACCURACY OF OR ERRORS OR OMISSIONS IN ANY SUCH PROGRAMS AND NOVUS DOES NOT WARRANT THAT THE OPERATION OF ANY SUCH PROGRAMS WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT ANY DEFECTS IN ANY SUCH PROGRAMS WILL BE CORRECTED. SOME STATES DO NOT ALLOW EXCLUSION OR LIMITATION OF IMPLIED WARRANTIES OR LIMITATION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.
NOTICES
NOVUS may give notice to you through general posting on the Service, through postal notification, or through email notification, in its sole discretion. You may give notice to NOVUS via email.
NOVUS reserves the right, in its sole discretion, to restrict or block the access of any subscriber to the Service, or any section thereof.
GENERAL
NOVUS may unilaterally amend this Agreement at any time, provided that NOVUS gives notice of the amendment to you in a reasonable period prior to its effective date. The Agreement may not otherwise be amended except in a writing signed by the party against whom the amendment is asserted. Any failure by NOVUS to enforce any provision of this Agreement shall not be construed as a continuing waiver of any rights under such provision. In the event that any portion of this Agreement is held unenforceable, the remaining provisions of the Agreement shall remain in full force and effect.
This Agreement shall be governed by and construed in accordance with the laws of the State of Missouri, as applied to contracts entered into and performed within Missouri. This Agreement states the entire agreement between the parties with respect to the Service, and all prior or contemporaneous agreements are merged herein and superseded hereby.
COPYRIGHT AND TRADEMARKS
The Service and all materials published therein, including but not limited to articles, graphical images, interactive applications, audio clips, and video clips (collectively, the "Content"), are protected by copyright and are owned by NOVUS or its licensors. You may not modify the Content or re-publish, re-transmit, or otherwise distribute any Content to any third person. You may copy and display the Content solely for your personal, non-commercial use, as permitted by the license granted above.
NOVUS and its logos are trademarks belonging to NOVUS. All other trademarks on the Service are the property of their respective holders.
PERMISSIONS
All requests for licensing, reprints, and other usage of material on NOVUS should be addressed to info@novuslifecare.com. We will review your request and provide you with an approval or rejection as soon as we have evaluated the request. We will attempt to approve or disapprove within 24 hours of each request.

Below is a description of each of the other purposes for which the organization is permitted or required to use or disclose protected health information without an individual's written consent or authorization.To patients, incident to another permitted use or disclosure, by agreement, to the Secretary of the U.S. Department of Health and Human Services, as required by law, for public health activities, information about victims of abuse, neglect or domestic violence, health oversight activities, for judicial and administrative proceedings, for law enforcement proceedings, about decedents, for cadaveric organ, eye or tissue donation, for research purposes, to avert a serious threat to health or safety, for specific government functions, to business associates of the organization, to personal representatives, de-identified information, to workforce members who are victims of crimes, to workers' compensation programs, for involvement in the individual's care and for notification purposes, with the individual present, for limited uses and disclosures when the individual is not present, and for disaster relief purposes.

Other uses and disclosures, such as disclosure of psychotherapy notes, use of protected health information for marketing activities and the sale of protected health information, will be made only with the individual's written authorization and the individual may revoke such authorization.

The organization may contact the individual to schedule visits and for other coordination of care activities.

The individual has the right to request further restrictions on certain uses and disclosures of protected health information, but the organization is not required to agree to any requested restriction(s), except disclosures must be restricted to health plans if the disclosure is for the purpose of carrying out payment or health care operations and is not otherwise required by law and the protected health information pertains solely to a health care item or service for which the individual or person other than the health plan on behalf of the individual has paid the organization in full.

The individual has the right to receive confidential communications of protected health information, the right to inspect and copy protected health information, the right to amend protected health information, the right to receive an accounting of disclosures of protected health information, and the right to obtain a paper copy of this Notice from the organization upon request.

The organization is required by law to maintain the privacy of protected health information and to provide individuals with notice of its legal duties and privacy practices with respect to protected health information and notify affected individuals following a breach of unsecured protected health information.

The organization is required to abide by the terms of this Notice currently in effect.

The organization reserves the right to change the terms of its Notice and to make the new notice provisions effective for all protected health information that it maintains. Individuals may obtain a revised copy of this Notice upon request.

NOVUS' GRIEVANCE PROCESS IN COMPLIANCE WITH SECTION 1557 OF THE AFFORDABLE CARE ACT
It is the policy of Novus Lifecare LLC (“Novus”) not to discriminate on the basis of race, color, national origin, sex, age or disability. Novus has adopted an internal grievance procedure providing for prompt and equitable resolution of complaints alleging any action prohibited by Section 1557 of the Affordable Care Act (42 U.S.C. § 18116) and its implementing regulations at 45 C.F.R. pt. 92, issued by the U.S. Department of Health and Human Services. Section 1557 prohibits discrimination on the basis of race, color, national origin, sex, age or disability in certain health programs and activities. Section 1557 and its implementing regulations may be examined in the office of: Shannon Rosales, Administrator ("Compliance Officer"), 8080 Ward Parkway, Suite 113, Kansas City, MO 64114.(816) 945-9596 (phone), (877)637-7312 (fax), compliance@novuslifecare.com (email), who has been designated to coordinate the efforts of Novus to comply with Section 1557.
Any person who believes someone has been subjected to discrimination on the basis of race, color, national origin, sex, age or disability may file a grievance under this procedure. It is against the law for Novus to retaliate against anyone who opposes discrimination, files a grievance, or participates in the investigation of a grievance.
GRIEVANCE PROCEDURE
The availability and use of this grievance procedure does not prevent a person from pursuing other legal or administrative remedies, including filing a complaint of discrimination on the basis of race, color, national origin, sex, age or disability in court or with the U.S. Department of Health and Human Services, Office for Civil Rights. A person can file a complaint of discrimination electronically through the Office for Civil Rights Complaint Portal, which is available at: https://ocrportal.hhs.gov/ocr/portal/lobby.jsf, or by mail or phone at: U.S. Department of Health and Human Services, 200 Independence Avenue, SW, Room 509F, HHH Building,Washington, D.C. 20201

Novus will make appropriate arrangements to ensure that individuals with disabilities and individuals with limited English proficiency are appropriate provided auxiliary aids and services or language assistance services, respectively, if needed to participate in this grievance process. Such arrangements may include, but are not limited to, providing qualified interpreters, providing taped cassettes of material for individuals with low vision, or assuring a barrier-free location for the proceedings. The Compliance Officer (or his/her designee) will be responsible for making these arrangements.
NOVUS' LANGUAGE ASSISTANCE PROGRAM IN COMPLIANCE WITH SECTION 1557 OF THE AFFORDABLE CARE ACT

Grievances must be submitted to the Compliance Officer within 60 days of the date the person filing the grievance becomes aware of the alleged discriminatory action.

A complaint must be in writing, containing the name and address of the person filing it. The complaint must state the problem or action alleged to be discriminatory and the remedy or relief sought.

The Compliance Officer (or her/his designee) shall conduct an investigation of the complaint. This investigation may be informal, but it will be thorough, affording all interested persons an opportunity to submit evidence relevant to the complaint. The Compliance Officer will maintain the files and records of Novus relating to such grievances. To the extent possible, and in accordance with applicable law, the Compliance Officer will take appropriate steps to preserve the confidentiality of files and records relating to grievances and will share them only with those who have a need to know.

The Compliance Officer will issue a written decision on the grievance, based on a preponderance of the evidence, no later than 30 days after its filing (unless an extension is warranted for good cause under the circumstances), including a notice to the complainant of his/her right to pursue further administrative or legal remedies.

The person filing the grievance may appeal the decision of the Compliance Officer by submitting an appeal in writing to the Legal Department, Attention: General Counsel (who will direct it to the appropriate individual) at 8080 Ward Parkway, Suite 113, Kansas City, MO 64114 within 15 days of receiving the Compliance Officer's decision. The company shall issue a written decision in response to the appeal no later than 30 days after its filing.
